Introduction
Welcome to Closio Estate. These Terms and Conditions govern your access to and use of our CRM platform, website, and related services. Closio Estate is a company registered and operating in Indonesia. By accessing or using our services, you agree to be bound by these terms in accordance with Indonesian law, including Law No. 11 of 2008 on Electronic Information and Transactions (UU ITE) as amended by Law No. 1 of 2024, and the Indonesian Civil Code (KUHPerdata). If you do not agree, please do not use our platform.
Account Registration
To access certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use. Electronic contracts formed through this platform are legally valid under UU ITE.
Acceptable Use
You agree to use the platform only for lawful purposes related to real estate agency operations in compliance with Indonesian law. You may not: (a) attempt to reverse-engineer or disrupt the platform, (b) upload malicious code, (c) use automated tools to scrape or extract data, (d) impersonate another user or entity, or (e) violate any applicable Indonesian law or regulation, including UU ITE and UU PDP.
Intellectual Property
All content, features, and functionality of the Closio Estate platform - including text, graphics, logos, software, and design - are owned by Closio Estate and protected by Indonesian intellectual property laws (Law No. 28 of 2014 on Copyright and related regulations). You may not reproduce, distribute, or create derivative works without our prior written consent.
Data Ownership & Processing
You retain full ownership of any data you upload to the platform. Your agency acts as the data controller (pengendali data pribadi) for client data, and Closio Estate acts as the data processor (prosesor data pribadi) under UU PDP. We process your data solely to provide the platform services. We will never sell your data to third parties.
Payment & Billing
Paid plans are billed on a recurring basis. All prices are in Indonesian Rupiah (IDR) and subject to applicable Value Added Tax (PPN) as required by Indonesian tax law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
Termination
Either party may terminate the agreement at any time. Upon termination, your access will be revoked. Your data will remain available for export for 30 days. After this period, we will permanently delete your data in accordance with our data retention policy and UU PDP requirements.
Disclaimer of Warranties
The platform is provided "as is" without warranties of any kind, whether express or implied, to the extent permitted under Indonesian law. We strive to maintain uptime and reliability but do not guarantee uninterrupted, error-free, or completely secure service.
Limitation of Liability
To the maximum extent permitted by Indonesian law, Closio Estate shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of data, revenue, or business opportunities. Nothing in these terms limits liability for fraud or wilful misconduct.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Indonesia. Any dispute arising from or relating to these Terms shall first be resolved through good-faith negotiation. If no resolution is reached within 30 days, the dispute shall be settled through the Indonesian National Arbitration Board (BANI) in accordance with its prevailing rules, or through the competent District Court (Pengadilan Negeri) in Indonesia.
Regulatory Compliance
Closio Estate is registered as a Private Electronic System Operator (PSE) as required by PP 71/2019 and Ministerial Regulation 5/2020. We comply with all applicable Indonesian regulations governing electronic systems and data protection.
Changes to These Terms
We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the platform after changes constitutes acceptance.
